TERMS OF SERVICE

1. Overview

These Terms of Service govern access to and use of the subscription-based systems provided by Scaling Atomic Startup.

By purchasing or using our services, you agree to these terms.

2. Nature of Service

Scaling Atomic Startup provides access to a software-based system (CRM), including configured automations, communication tools, and integrations.

The service may include:

- CRM access

- Automated workflows

- Communication integrations (e.g. email, messaging platforms, social media connections)

- Pipeline and data management tools

- Access is provided digitally via a secure platform (Go High Level).

3. Cancellation

Subscriptions may be cancelled at any time

- To avoid the next billing charge, cancellation must be completed at least 3 days before the next billing date

- Any usage for the completed month will still be charged on the agreed upon date.

- If cancellation is not received within this timeframe, the next billing cycle will proceed as scheduled.

Cancellation will stop future billing but does not reverse or refund any completed charges.

4. Refund Policy

All payments are non-refundable.

Due to the nature of the service, which includes:

- Immediate access to a live system

- Configuration and setup

- Access to software and automation infrastructure

No refunds will be issued once access has been granted or work has commenced, regardless of usage.

This applies to:

- Subscription plans

- One-time purchases

- Setup or custom system builds

Notwithstanding the above, if you have not yet accessed the system or if we have not commenced configuration, a refund may be requested within 14 days of purchase. Once provisioning has occurred, the service is deemed 'consumed' and is non-refundable.

5. Access to the System

- Access is granted only after successful payment of the 1st monthly subscription

- The system remains active while the subscription is in good standing

- If payment fails or the subscription is cancelled, access may be suspended or terminated

Clients are responsible for:

- Maintaining login security

- Managing their users and data within the system

6. Acceptable Use

The system may not be used for:

- Unlawful activities

- Spam or abusive communication practices

- Any activity that violates platform or integration provider policies

- Scaling Atomic Startup reserves the right to suspend or terminate access in cases of misuse.

7. Service Scope

Scaling Atomic Startup provides access to systems and configurations designed to support business operations.

We do not:

- Operate the client’s business

- Manage day-to-day communications

- Guarantee specific business outcomes

- Clients are responsible for how they use the system.

8. Service Availability

While we aim to ensure consistent system availability:

- We do not guarantee uninterrupted or error-free service

- Temporary interruptions may occur due to maintenance, updates, or third-party dependencies

9. Limitation of Liability

Scaling Atomic Startup shall not be held liable for:

- Loss of data, revenue, or business opportunities

- Downtime caused by third-party platforms or integrations

- Misuse of the system by the client

- Use of the system is at the client’s own risk.

10. Changes to Terms

These terms may be updated from time to time.

Continued use of the service constitutes acceptance of any updated terms.

PRIVACY POLICY

1. Introduction: 

Scaling Atomic Startup ("we," "us," or "our") is committed to protecting your privacy. This policy explains how we collect and use your data under the UK GDPR.

2. Data We Collect: 

We collect your name, email, phone number, and billing information when you subscribe. We also process lead data (emails) provided by you to perform our services.

3. Legal Basis: 

We process data to fulfill our contract with you and for our legitimate business interests.

4. Data Sharing: 

We share data only with essential third-party processors (e.g., Stripe for payments, GoHighLevel for hosting). We do not sell your data.

5. International Transfers: 

As a UK company, we ensure all data transferred outside the UK (e.g., to servers in the US) is protected by standard contractual clauses.

6. Your Rights:

7. Governing Law and Jurisdiction:
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.

BILLING AND PAYMENTS POLICY

1. Upfront Payment Requirement

All payments must be made in advance.

- No access to the system will be granted

- No setup or configuration work will begin until the initial payment has been successfully received.


2. Subscription Billing

All plans operate on a subscription basis.

- The first payment is charged at the time of purchase

- Subsequent payments are billed automatically according to the applicable billing cycle.


3. Billing and Subscription Cycle (Standard Plans)

Initial Payment: 

An upfront payment is required to cover the system configuration and the first month of service.

Trial & Provisioning: 

Every standard plan includes a 14-day trial/setup period which begins immediately upon payment.

Recurring Charges: 

Your second subscription charge will occur exactly 6 weeks after your initial payment. Following this, billing transitions to a standard monthly recurring basis.


4. Billing Structure (Bespoke Systems)

Initial Build Fee: 

Custom-built systems require a one-time upfront "Build Fee." This covers the labor, strategy, and development of your custom infrastructure. No work will commence until this fee is received.

Subscription Activation: 

Once the custom build is complete and access is granted to the client, the first month’s subscription fee becomes due.

Orientation: 

Upon payment of the first subscription fee, a 14-day orientation period begins. This allows the client to test and understand the bespoke system while it is live.

Recurring Billing: 

Your second subscription charge will occur exactly 6 weeks after the first subscription payment (14-day orientation + 30-day first month).

Ongoing Cycle: 

Thereafter, billing will continue on a standard monthly recurring basis.

5. Rebilling

Included Credits & Overages: Each plan includes a monthly allowance of credits equating to the emails as per plan description. Additional emails are billed at a rate of $1.35 USD per 1,000 emails. Usage-based charges are calculated daily and billed automatically bi-monthly to your card on file or when your balance reaches the minimum threshold.
